1) Program Description & Consent

By enrolling in Willow’s text message program(s) (“Program”), you agree to receive recurring automated promotional and personalized marketing text messages (including SMS, MMS, and, where supported, RCS), such as cart reminders, new‑arrival alerts, and offers, and, where applicable, non‑marketing transactional notices (e.g., order, shipping, appointment, or service updates). Messages may be sent using an automatic telephone dialing system and/or AI‑assisted technology to the mobile number you provide or designate.

You agree that you consent to receive such messages regardless of any state or federal time‑of‑day restrictions and despite the presence of your telephone number on any state or federal Do Not Call list/registry. Consent is not a condition of purchase. Message & data rates may apply.

2) Opt‑In Methods & E‑SIGN Disclosure

You can opt in by: (a) submitting your number via website forms or checkout checkboxes; (b) texting a join keyword we provide; (c) scanning a QR code or similar prompt that clearly discloses these terms; or (d) other clearly disclosed methods.
By enrolling, you consent to receive electronic records and disclosures related to the Program to your mobile device and/or email (E‑SIGN). You may withdraw consent by opting out as described below.

3) Message Frequency & From Numbers

Message frequency varies. We may increase or decrease frequency at any time. We may send from a short code, toll‑free number, or 10DLC long code and may change the sending number or code; we will notify you when we do.

4) Eligibility, Number Ownership & Geographic Scope

The Program is intended for subscribers in the United States (and, if stated, Canada). You must be 18+ or have the consent of a parent/guardian. You represent that you are the current owner or customary user of the mobile number provided. If your number is reassigned or you change carriers/devices, you must opt out of your old number and, if desired, re‑opt‑in with your new number to avoid messages to unintended recipients.

5) Carrier, Delivery & Cost Disclaimers

Not all devices, handsets, or carriers are supported. Messages may not be deliverable in all areas or if digits/symbols are added to our number. We, our service providers, and participating carriers are not liable for delayed or undelivered messages. Standard message and data rates may apply.

6) Opt‑Out (Cancellation) & Re‑Subscribe

To stop receiving marketing texts, reply with any of the following standard commands to the number/short code that messaged you: STOP, END, CANCEL, UNSUBSCRIBE, QUIT, REVOKE, OPT OUT, STOP ALL. You will receive a one‑time confirmation text. Our platform may not recognize other words/phrases; we are not responsible for failing to honor non‑standard requests.
If you unsubscribe from one Willow program, you may still receive texts from other Willow programs you joined until you separately unsubscribe from those programs.
To re‑subscribe after opting out, reply START (or re‑enroll via our website or forms).

7) HELP & Customer Care

For help, reply HELP to the number/short code that messaged you.

8) Acceptable Use & Security

Do not use or rely on SMS for emergencies. Do not send us confidential, payment card, or health information over SMS. Any user‑generated content you send via SMS must be lawful and non‑infringing. We may suspend or terminate participation for suspected fraud, abuse, or violations of these terms.

9) Privacy; Information We Collect via SMS

We may collect your phone number, opt‑in/opt‑out confirmations, message content, delivery and interaction data (e.g., clicks), device or carrier information, and timing/frequency metadata. We use this information to operate, improve, and tailor the Program and for compliance and recordkeeping.
We may share information with service providers that power enrollment, messaging, delivery, and analytics (for example, messaging platforms and carriers) strictly to operate the Program and as described in our Privacy Policy. See our Privacy Policy for details on data rights and choices.

10) Relationship to Other Policies

These Messaging Terms are in addition to, and incorporate by reference, Willow’s Website Terms of Service and Privacy Policy (available on willowbathandvanity.com). If these terms conflict with the Website Terms, these Messaging Terms control for SMS‑related issues.

11) Program Changes, Suspension & Termination

We may modify, suspend, or terminate the Program or any feature at any time, including message content/frequency and the numbers/short codes used. We will provide notice where required by law.

12) Transactional vs. Marketing Messages

If you consent to transactional texts (e.g., order or shipping updates), you may receive such messages even if you opt out of marketing texts, unless you specifically opt out of transactional communications where permitted by law.

13) International Use

The Program is primarily intended for use in the U.S. Messages sent to or received in other countries may not be supported and may incur additional costs; delivery and functionality are not guaranteed outside supported regions.

14) Dispute Resolution — Binding Arbitration; Class Action Waiver

General. To resolve disputes efficiently, you and Willow Bath and Vanity LLC agree that any dispute, claim, or controversy arising out of or related to these Messaging Terms or your receipt of texts from Willow or its service providers will be resolved by binding arbitration. Arbitration is less formal than court, uses a neutral arbitrator (not a judge or jury), allows more limited discovery, and is subject to limited judicial review. Arbitrators can award the same damages and relief as courts. This agreement covers all claims (contract, tort, statute, fraud, misrepresentation, and all others), regardless of when they arise. YOU AND WILLOW WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. The Federal Arbitration Act governs this agreement.

Exceptions. Nothing in this section waives the rights of you or Willow to: (i) bring an individual action in small claims court; (ii) pursue an enforcement action through a government agency; (iii) seek injunctive relief in aid of arbitration; or (iv) file suit in court for intellectual‑property claims.

Arbitrator & Rules. Arbitration will be administered by the American Arbitration Association (“AAA”) under the Commercial Arbitration Rules and the Supplementary Procedures for Consumer‑Related Disputes (collectively, the “AAA Rules”), as modified by these terms. The AAA Rules and filing forms are available at www.adr.org or 1‑800‑778‑7879. The arbitrator has exclusive authority to decide issues of arbitrability and the interpretation, applicability, or enforceability of this arbitration agreement.

Notice & Process. If a party intends to seek arbitration, it must first send a written Notice of Dispute by U.S. Mail to: Willow Bath and Vanity LLC, Attn: CEO, 6520 Corporate Ct, Suite 200, Alpharetta, GA 30005. The Notice must describe the claim and the relief sought. The parties will try to resolve the claim directly; if not resolved within 30 days after the Notice is received, either party may commence arbitration. Settlement offers must not be disclosed to the arbitrator until after a final award.

Fees & Hearings. If you commence arbitration consistent with these terms, Willow will reimburse your AAA filing fee unless your claim exceeds $15,000 or as otherwise provided by the AAA Rules. For claims of $15,000 or less, you may choose: (i) documents‑only arbitration; (ii) a non‑appearance telephone hearing; or (iii) an in‑person hearing, as permitted by the AAA Rules. If the arbitrator finds your claim frivolous or brought for an improper purpose (Fed. R. Civ. P. 11(b) standard), fee allocation will follow the AAA Rules and you agree to reimburse Willow for fees it advanced that you would otherwise owe. The arbitrator must issue a reasoned written decision. Arbitration decisions and information exchanged are confidential, except as necessary to enforce or allow limited judicial review.

No Class Actions. YOU AND WILLOW MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER in any class or representative proceeding. Unless both parties agree otherwise in a signed writing, the arbitrator may not consolidate claims or preside over any representative/class proceeding.

Changes to Arbitration Provision. If Willow changes this arbitration provision in the future (other than the Notice address), you may reject the change by sending written notice within 30 days to the Notice address above; the prior version will then govern.

Severability. If a court or arbitrator finds that applicable law precludes enforcement of any limitation in this section as to a specific claim, then that claim (and only that claim) must be brought in court; all other claims will remain subject to arbitration. If any other provision is found unenforceable, it is severed and the remainder remains in effect.

15) Additional Terms

  • Prohibited Content: You may not use the Program to transmit unlawful, harmful, defamatory, harassing, discriminatory, or otherwise objectionable content.

  • Third‑Party Links: Messages may include links to third‑party sites; we are not responsible for third‑party content or practices.

  • Program Availability: We do not guarantee continuous or error‑free operation of the Program.

  • Assignment: We may assign these Messaging Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.

  • Governing Law: Except as preempted by the Federal Arbitration Act, these terms are governed by the laws of the State of Georgia, without regard to conflicts rules.
