Terms and Conditions of Use and Sale

1. Introduction
Welcome to willowbathandvanity.com (“Site”), the official online platform of Willow Bath and Vanity LLC (“Company,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of the Site, including any purchases, communications, or interactions with us via the Site, our mobile applications, showrooms, marketing platforms, or in person. By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please refrain from using the Site.
These Terms are legally binding and apply to all users of the Site, including but not limited to browsers, vendors, customers, merchants, and content contributors. Your use of the Site constitutes acceptance of all stated policies, procedures, and legal notices.
2. Eligibility and Account Responsibilities
To use the Site, you must be at least 13 years of age. If you are a minor under the age of majority in your jurisdiction, your parent or legal guardian must accept these Terms on your behalf and supervise your use of the Site.
If you create an account on the Site, you are responsible for maintaining the confidentiality of your username, password, and other credentials. You agree to provide current, complete, and accurate information and promptly update your account details as needed.
We reserve the right, without notice, to suspend or terminate your account or deny you access to the Site if, in our sole discretion, we believe you have violated these Terms or applicable law.
3. Orders, Pricing, and Modifications
All orders are subject to acceptance and stock availability. Submitting an order through the Site does not constitute a binding agreement until confirmed by us via order confirmation email.
We reserve the right to cancel or modify any order due to errors in product descriptions, pricing inaccuracies, system malfunctions, stock shortages, suspected fraudulent activity, or other operational issues.
All listed prices are in U.S. Dollars (USD) and do not include applicable sales tax, shipping fees, or handling charges unless expressly stated. Sales tax will be collected where required by law.
Promotions, discounts, and special pricing are subject to change at any time. Only one promotional code may be used per order unless otherwise indicated. Price adjustments for previous purchases will be handled per Section 4.
4. Price Adjustment Policy
We offer a one-time price adjustment in the form of store credit if a product you purchased is reduced in price within seven (7) calendar days of your original purchase date. To request an adjustment:
- The product must be identical in style, size, finish, and configuration.
- The lower price must be publicly advertised and currently active on our official website.
- You must email support@willowbathandvanity.com within seven (7) days of your purchase with the order number and a screenshot or link to the advertised price.
Exclusions:
- Clearance, closeout, or final-sale items.
- Limited-time promotional discounts or flash sales (72 hours or less).
- Items purchased from third-party retailers or marketplaces.
Approved requests will be issued as non-transferable store credit valid for 60 days.
5. Shipping, Delivery, and Risk of Loss
We offer both parcel and freight shipping services, depending on the size and weight of the item. Shipping charges are calculated at checkout and reflect our cost of processing, handling, packaging, and delivery. Estimated shipping timelines vary by destination and carrier availability.
While we strive to meet all delivery estimates, these are not guaranteed. We are not liable for delays caused by carrier issues, inclement weather, customs processing, or inaccurate delivery addresses.
Ownership and risk of loss transfer to the customer upon the carrier’s receipt of the merchandise. Please inspect all deliveries upon receipt. Any visible or concealed damage must be reported to us within 48 hours, including detailed photos and a description of the issue.
6. Returns and Refunds
If you are not completely satisfied with your purchase, eligible items may be returned within 30 days of delivery for a refund or store credit. To qualify:
- Products must be unused, uninstalled, and in original condition with all packaging.
- Return must be approved and accompanied by an RMA number issued by our customer support team.
- Return shipping costs and insurance are the customer’s responsibility unless otherwise agreed.
Non-returnable items:
- Custom or made-to-order products
- Installed or modified items
- Clearance or final-sale products
- Items not returned in original packaging
Refunds will be processed within 10–14 business days of receiving the returned merchandise and completing a satisfactory inspection.
7. Warranty
Willow Bath and Vanity LLC provides a one (1) year limited warranty on all vanities and products purchased directly through our official channels. The warranty covers manufacturing defects in materials and workmanship under normal use and service conditions.
The following are excluded from warranty coverage:
- Damage caused by improper installation or use
- Surface stains, water spots, or discoloration from environmental exposure
- Mold, mildew, and other damage caused by moisture or humidity
- Natural aging of wood, stone, or finishes
- Damage resulting from commercial use, misuse, or negligence
Warranty claims must be submitted to support@willowbathandvanity.com with proof of purchase and detailed photographs of the issue. We reserve the right to inspect, repair, or replace defective components at our discretion.
8. Intellectual Property
All trademarks, logos, brand names, and content, including but not limited to product descriptions, photographs, designs, layouts, and video content displayed on the Site, are the exclusive intellectual property of Willow Bath and Vanity LLC or its licensed partners. All rights are reserved.
You may not:
- Use our intellectual property for any commercial purpose without written permission
- Modify, distribute, publish, or create derivative works from our content
- Use framing, metatags, or hidden text incorporating our trademarks or copyrighted material
We aggressively enforce our intellectual property rights and may seek legal remedies in the event of unauthorized use.
9. User Content and Acceptable Use of the Site
The Site may allow you to upload, submit, store, send, or receive content and data such as comments, reviews and photos (“User Content”). You may also submit User Content in the other ways that you interact with Us such as through social media, by email, by phone, and otherwise. You retain ownership of any intellectual property rights that you hold in that User Content.
When you upload, post, submit, send, or receive any User Content to or through the Site, you give Us permission to reproduce and use your User Content as follows: you grant to Us and those we work with a license to use, host, store, reproduce, modify, create derivative works (such as translations, adaptations, or other changes we make so that User Content works better with the Site), publicly perform, publicly display, and distribute your User Content. This license is for the purpose of operating and improving the Site, to develop new products and services, and for other Willow Bath and Vanity LLC marketing purposes, including without limitation in catalogs, email and other customer communications, store materials and other marketing. We may display advertisements in connection with your User Content or on pages where your User Content may be viewed by you or others, and we may use your User Content to advertise and promote Willow Bath and Vanity LLC or the Site. Our license to your User Content is non-exclusive, meaning you may use the User Content for your own purposes or let others use your User Content for their purposes. This license is fully-paid and royalty free, meaning we do not owe you anything else in connection with our use of your User Content. We may exercise our rights under this license anywhere in the world. Lastly, this license is perpetual, meaning that our rights under this license continue even after you stop using the Site.
You promise that:
• You own all rights to your User Content or, alternatively, that you have the right to give us the rights described above; and
• Your User Content does not infringe the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party.
We may refuse to accept or transmit User Content for any reason with or without notice. We may remove User Content from the Site for any reason with or without notice.
You further acknowledge that we are not responsible for the accuracy, integrity, or quality of any User Content provided by you or others. We do not endorse any opinions expressed in User Content and shall have no liability whatsoever for any User Content displayed or used on the Site.

10. Use of the Site
We grant you a personal, limited, non-exclusive, non-transferable license to access and make personal use of the Site and the Materials and other information contained on the Site. This license does not include any resale or commercial use of the Site; any collection and commercial use of any photographs or other Materials published on the Site; any non-personal use of our product names, listings, descriptions, or prices; any derivative use of the Site; any downloading, copying, or other use of the Site or the Materials for the benefit of any third party; or any use of data mining, robots, or similar data gathering and extraction tools.
You may use the Site only as permitted by law. All rights not expressly granted to you in these Terms are reserved and retained by us and/or our suppliers and licensors. The licenses granted by us to you automatically terminate if you do not comply with these Terms.
You are responsible for your use of the Site, and for any use of the Site made using your account. Our goal is to create a positive, useful, and safe user experience. To promote this goal, we prohibit certain kinds of conduct that may be harmful to other users or to us. When you use the Site, you may not:
• Violate any law or regulation; • Violate, infringe, or misappropriate other people’s intellectual property, privacy, publicity, or other legal rights; • Post or share anything that is illegal, abusive, harassing, harmful to reputation, pornographic, indecent, profane, obscene, hateful, racist, or otherwise objectionable; • Engage in spidering or harvesting, or participate in the use of software, including spyware, designed to collect data from the Site or mobile applications; • Transmit any viruses or other computer instructions or technological means whose purpose is to disrupt, damage, or interfere with the use of computers or related systems; • Use any means to scrape or crawl any pages contained in the Site; • Attempt to circumvent any technological measure implemented by us or any of our providers or any other third party (including another user) to protect the Site; • Attempt to decipher, decompile, disassemble, or reverse engineer any of the software or other underlying code used to provide the Site; or • Advocate, encourage, or assist any third party in doing any of the foregoing.
Your violation of this Section may result in the suspension or termination of your account, access restrictions, and legal liability, at our sole discretion.
11. Text Message Program Terms
Willow Bath And Vanity LLC offers its customers mobile alerts about order and shipping updates and other marketing messages about events, new products, and other offers by SMS message (the “Service”). By participating in the Service, you are agreeing to these Terms and to the Privacy Policy.
Signing Up and Opting-In to the Service
Enrollment in the Service requires you to provide your mobile phone number and to agree to these terms and conditions. You may not enroll if you are under 18 years old (except in Alabama and Nebraska, 19 years old). Before the Service will start, you will need to verify the mobile phone number you provided by responding to a text message to your mobile phone that affirms your choice to opt-in to this Service and your agreement to these Terms. Willow Bath And Vanity LLC reserves the right to stop offering the Service at any time with or without notice.
By opting into the Service, you:
- Authorize Willow Bath And Vanity LLC to use autodialer or non-autodialer technology to send text messages to the mobile phone number associated with your opt-in (i.e., the number listed on the opt-in form or, if none, the number from which you send the opt-in, or, if none, the number on file for the account associated with your opt-in).
- Acknowledge that you do not have to agree to receive messages as a condition of purchase.
- Confirm that you are the subscriber to the relevant phone number or that you are the customary user of that number on a family or business plan and that you are authorized to opt in.
- Consent to the use of an electronic record to document your opt-in. To request a free paper or email copy of the opt-in or to update our records with your contact information, please call 877-788-8444. To view and retain an electronic copy of these Terms or the rest of your opt-in, you will need (i) a device (such as a computer or mobile phone) with Internet access, and (ii) either a printer or storage space on such device. For an email copy, you’ll also need an email account you can access from the device, along with a browser or other software that can display the emails.
Messages You May Receive
Once you affirm your choice to opt in to the Service, your message frequency may vary. You may receive an alert when:
- You are welcomed into the Service
- An order has been placed
- An order has been delivered
- An item or items have shipped; or are ready for in-store pickup
- There are general marketing or promotional updates
Charges and Carriers
Message and data rates may apply. Please consult your service agreement with your wireless carrier or contact your wireless carrier to determine your phone’s pricing plan and the charges for sending and receiving text messages. You acknowledge that you are responsible for any message, data, or other charges incurred (usage, subscription, etc.) as a result of using the Service.
Supported carriers include AT&T, T-Mobile, Verizon Wireless, Sprint, Boost, Virgin Mobile, U.S. Cellular, Cricket, Alltel, Cincinnati Bell, Cellcom, C-Spire, nTelos, MetroPCS, and other regional carriers. The Service may not be available on all wireless carriers. Willow Bath and Vanity LLC may add or remove any wireless carrier from the Service at any time without notice. Willow Bath and Vanity LLC and mobile carriers are not responsible for any undue delays, failure of delivery, or errors in messages.
To Stop the Service
To stop receiving text messages from Willow Bath and Vanity LLC, text the word STOP any time or reply STOP to any of the text messages you have received. For Services operated through a different number, text STOP to that number to opt out. Your opt-out request may generate either a confirmation text or a request to clarify the program you are opting out from. You acknowledge that the text message platform may not recognize unsubscribe requests that do not include the STOP keyword and agree that Willow Bath and Vanity LLC and its service providers will have no liability for failing to honor such requests.

We reserve the right to cancel or modify promotions at any time without notice. Offers may not be combined unless explicitly stated.
14. Copyright Policy and DMCA Compliance
We respect the intellectual property rights of others and comply with the provisions of the U.S. Digital Millennium Copyright Act (DMCA). If you believe that a work on the Site constitutes copyright infringement, please send a written communication containing the following information to our Designated Agent:
- Your full name, address, telephone number, and email address;
- A description of the copyrighted work that you claim has been infringed;
- The exact URL or a detailed description of where the allegedly infringing material is located on the Site;
- A statement by you that you have a good faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
- An electronic or physical signature of the person authorized to act on behalf of the copyright owner; and
- A statement by you, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the copyright owner’s behalf.

Counter-Notification Procedure
If you believe that content you posted to the Site was removed or disabled in error, you may file a counter-notification by providing the following information in writing to the same address listed above:
- Your physical or electronic signature;
- Identification of the content that was removed or to which access was disabled and the location at which the content appeared before it was removed or disabled;
- A statement under penalty of perjury that you have a good faith belief that the content was removed or disabled as a result of a mistake or misidentification;
- Your name, physical address, telephone number, and email address;
- A statement that you consent to the jurisdiction of the federal court in the district where your address is located (or Fulton County, Georgia if your address is outside of the United States) and that you will accept service of process from the person who submitted the original DMCA claim.
When we receive a valid counter-notification, we will forward it to the original claimant. The claimant then has 10 business days to notify us that they have filed a legal action relating to the allegedly infringing material. If we do not receive such notification, we may reinstate the material.
We reserve the right to terminate user accounts that are the subject of repeat infringement notifications.
15. Arbitration Agreement & Waiver of Certain Rights
You and Willow Bath and Vanity LLC agree that, except as set forth below, we will resolve any disputes between us (including any disputes between you and a third-party agent of Willow Bath and Vanity LLC) through binding and final arbitration instead of through court proceedings. You and Willow Bath and Vanity LLC hereby waive any right to a jury trial of any Claim (defined below). All controversies, claims, counterclaims, or other disputes arising between you and Willow Bath and Vanity LLC or you and a third-party agent of Willow Bath and Vanity LLC (a “Claim”) will be resolved exclusively by final and binding arbitration in accordance with the Rules of the American Arbitration Association (“AAA Rules”). The arbitration will be heard and determined by a single arbitrator. The arbitrator’s decision in any such arbitration will be final and binding upon the parties and may be enforced in any court of competent jurisdiction.
The parties agree that the arbitration proceedings will be kept confidential and that the existence of the proceeding and any element of it (including, without limitation, any pleadings, briefs or other documents submitted or exchanged and any testimony or other oral submissions and awards) will not be disclosed beyond the arbitration proceedings, except as may lawfully be required in judicial proceedings relating to the arbitration, by applicable disclosure rules and regulations of securities regulatory authorities or other governmental agencies, or as specifically permitted by state law.
The Federal Arbitration Act and federal arbitration law apply to this agreement. However, the arbitrator, and not any federal, state, or local court or agency, shall have the exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of these Terms including, but not limited to, a claim that all or any part of these Terms is void or voidable.
If you demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Willow Bath and Vanity LLC will pay as much of the administrative costs and arbitrator’s fees required for the arbitration as the arbitrator deems necessary to prevent the cost of the arbitration from being prohibitive. In the final award, the arbitrator may apportion the costs of arbitration and the compensation of the arbitrator among the parties in such amounts as the arbitrator deems appropriate.
This arbitration agreement does not preclude you or Willow Bath and Vanity LLC from seeking action by federal, state, or local government agencies. You and Willow Bath and Vanity LLC also have the right to bring qualifying claims in small claims court. In addition, you and Willow Bath and Vanity LLC retain the right to apply to any court of competent jurisdiction for provisional relief, including pre-arbitral attachments or preliminary injunctions, and any such request shall not be deemed incompatible with these Terms and Conditions, nor a waiver of the right to have disputes submitted to arbitration as provided in these Terms and Conditions.
Neither you nor Willow Bath and Vanity LLC may act as a class representative or private attorney general, nor participate as a member of a class of claimants, with respect to any Claim. Claims may not be arbitrated on a class or representative basis. The arbitrator can decide only your and/or Willow Bath and Vanity LLC’s individual Claims. The arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated.
If any provision of this Section is found to be invalid or unenforceable, then that specific provision shall be of no force and effect and shall be severed, but the remainder of this Section shall continue in full force and effect. If for any reason a claim proceeds in court rather than in arbitration, you and Willow Bath and Vanity LLC each waive any right to a jury trial. No waiver of any provision of this Section of the Terms and Conditions will be effective or enforceable unless recorded in a writing signed by the party waiving such a right or requirement. Such a waiver shall not waive or affect any other portion of these Terms and Conditions.
The arbitrator may award in the arbitration the same damages or other relief available under applicable law, including injunctive and declaratory relief, as if the action were brought in court on an individual basis. Notwithstanding anything to the contrary in the foregoing or herein, the arbitrator may not issue a “public injunction” and any such “public injunction” may be awarded only by a federal or state court. If either party seeks a “public injunction,” all other claims and prayers for relief must be adjudicated in arbitration first and any prayer or claim for a “public injunction” in federal or state court stayed until the arbitration is completed, after which the federal or state court can adjudicate the party’s claim or prayer for “public injunctive relief.” In doing so, the federal or state court is bound under principles of claim or issue preclusion by the decision of the arbitrator.
This Section of the Terms and Conditions will survive the termination of your relationship with Willow Bath and Vanity LLC.
THIS SECTION LIMITS CERTAIN RIGHTS, INCLUDING THE RIGHT TO MAINTAIN A COURT ACTION, THE RIGHT TO A JURY TRIAL, THE RIGHT TO PARTICIPATE IN ANY FORM OF CLASS OR REPRESENTATIVE CLAIM, THE RIGHT TO ENGAGE IN DISCOVERY EXCEPT AS PROVIDED IN AAA RULES, AND THE RIGHT TO CERTAIN REMEDIES AND FORMS OF RELIEF. OTHER RIGHTS THAT YOU OR WILLOW BATH AND VANITY LLC WOULD HAVE IN COURT ALSO MAY NOT BE AVAILABLE IN ARBITRATION.
16. Indemnification
You agree to indemnify, defend, and hold harmless Willow Bath and Vanity LLC, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, losses, damages, expenses, and costs (including legal fees) resulting from your breach of these Terms, your misuse of the Site, or your violation of any law or third-party rights.
17. Governing Law and Jurisdiction
These Terms shall be governed and interpreted under the laws of the State of Georgia, without regard to its conflicts of law provisions. Any legal proceedings not subject to arbitration shall be brought exclusively in the courts located in Fulton County, Georgia.
18. Force Majeure
We shall not be liable for any delay or failure in performance caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, terrorism, labor shortages, supply chain disruptions, or governmental actions.
19. Severability and Waiver
If any provision of these Terms is determined to be unlawful or unenforceable, that provision shall be severed from the Terms without affecting the enforceability of remaining provisions. Our failure to enforce any part of these Terms shall not be deemed a waiver of our rights.
